ok, some news, finally...
this whole thing was cursed by bad microsoft devil or wtf... during the week my falcon stopped to work with ct63 so i wasnt able to test/compile nothing, great.
however, today i played whole day with clean mb and i found some wire to dsp is flying in the air :) by lucky coincidence xi was nearby so i asked him to try to solder it and voila... not only falcon stability is ok but also ct63 is working again, wow!
so, ethernats. after trying both 200hz and I6 version, debug outputs (it was looped in negotiation function) i found... that cable is bad!
(yes, i do know i look as real idiot now ;-)
so, at the end, everything works now, your ethernats are great, nobody but me failed... however, guys, i was nearly killed by heart attack just because you didn't include one single message what's going on! it doesn't look very optimistic when I see MAC address and nothing else... some '_\|/_' style of "progress bar" or message like "searching for network" or anything but this frustrating silent ;)
btw I included your code into my local freemint tree (in more readable way -- separate directory), I plan to improve it a bit ("online" start/stop when cable is un/plugged).
