Ok Didier,
Just to tell that the CTPCI is done to run PCI at 33 MHz.
So the fact that a board is 33 MHz (and not 66) "should" not be a problem, especially because we use a 3.3V PCI voltage that gives better performances about integrity signals and loading capacity (not the problem here with 2 PCI chips)...
The problem is somewhere else... and I'm afraid to not be able to find it... :-(

I have to buy USB &/or Ethernet board first...
After I have to put a logic analyser on PCI to see what happens...

But first I want to solve DMA reading problem...
